1. Introduction and Acceptance
These Terms of Service ("Terms") govern access to and use of the training programs, coaching services, curriculum, assessments, and related content (collectively, the "Services") offered by Piedmont Elite Sports Performance Academy ("Academy," "we," "us," or "our"). (The Academy's formal legal-entity name is being updated as part of a pending South Carolina business-name amendment; this section will be revised to name the confirmed legal entity once that process is complete.) By creating an account, purchasing a membership, or otherwise using the Services, you agree to these Terms. If you do not agree, please do not use the Services.
2. Who May Use the Services
The Services are built around a parent/guardian-managed account model:
- The Academy account is created and held by a parent or legal guardian (the "Account Holder"), who must be at least 18 years old.
- The athlete participating in training (the "Athlete") does not need, and should not be given, their own Kajabi account or login credentials.
- The Account Holder is responsible for all activity under their account and for any information submitted on the Athlete's behalf.
- By enrolling, the Account Holder confirms they are the parent, legal guardian, or another adult authorized to make training decisions for the Athlete.
3. Description of Services
The Academy provides an online sports-performance training curriculum, education, athlete assessment, and coaching services delivered primarily through our online platform. Depending on the membership tier selected, Services may include training curriculum and modules, an initial and periodic athlete video assessment, coach-reviewed assessment summaries and placement guidance, individual athlete video reviews, group or individual coaching sessions, and parent education and tracking resources. Specific entitlements vary by membership tier and are described at the time of purchase.
Separately purchased private or small-group in-person coaching, where available, is not included in any membership tier, is subject to the Coach's availability, and is not guaranteed by membership at any tier — including tiers that receive priority consideration for such sessions.
4. Assumption of Risk; No Medical Advice
Athletic training involves inherent physical risk, including the risk of injury. By enrolling, the Account Holder acknowledges and accepts this risk on behalf of the Athlete and agrees that:
- The Account Holder, not the Academy, is responsible for determining whether a given exercise, session, or level of activity is appropriate for the Athlete, and for providing appropriate supervision.
- The Athlete should stop any activity that causes pain or other concerning symptoms and seek appropriate medical attention.
- The Academy does not provide medical diagnosis, treatment, physical therapy, or any other licensed medical or healthcare service. Nothing in the Services should be treated as medical advice.
- Individual results from training are not guaranteed. Athletic outcomes depend on many factors outside the Academy's control.
5. Memberships, Billing, and Cancellation
Academy memberships are recurring monthly subscriptions billed automatically to the payment method on file until cancelled.
- Cancellation: The Account Holder may cancel at any time using the self-service cancellation function available in their account. Cancelling stops future recurring charges. Access continues through the end of the then-current paid billing period.
- Refunds: Membership payments are non-refundable once processed, except where required by applicable law.
- Failed payments: If a payment is not successfully collected, our payment platform will attempt to process the payment; continued failure to collect payment may result in suspension or cancellation of access.
- Price changes: The Academy may change membership pricing prospectively with reasonable notice; changes will not apply retroactively to amounts already billed.
6. Founding Family Pricing
Some Account Holders enroll under a limited-time Founding Family rate. Your Founding Family rate is held for as long as your membership remains continuously active. Voluntarily cancelling your membership ends continuous-active status. If you later rejoin the Academy, you will be subject to the pricing available at the time you rejoin; rejoining does not guarantee restoration of a previous Founding Family rate.
7. Intellectual Property
All curriculum, videos, written materials, assessments, and other content made available through the Services are the property of the Academy or its licensors and are protected by copyright and other intellectual-property laws. Your membership grants you a limited, non-exclusive, non-transferable license to access and use this content for your own family's personal, non-commercial training purposes. You may not copy, redistribute, publicly share, resell, or use Academy content for any commercial purpose without our prior written permission.
8. Acceptable Use
You agree not to share your account login credentials with anyone outside your household, use the Services for any unlawful purpose, attempt to gain unauthorized access to the Services or other users' accounts or data, or interfere with the normal operation of the Services.
9. Account and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Please notify us promptly at [email protected] if you believe your account has been accessed without authorization.
10. Payment Terms
Payments are processed through the Academy's third-party payment processing platform. The Academy does not directly store your full payment card details. You authorize recurring charges for your selected membership tier until you cancel. You are responsible for any applicable taxes associated with your purchase.
11. Termination or Suspension by the Academy
The Academy may suspend or terminate your access to the Services if you violate these Terms, engage in conduct that endangers others, or fail to maintain a current, valid payment method after reasonable notice.
12. Disclaimers and Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, THE ACADEMY'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID TO THE ACADEMY IN THE THREE MONTHS PRECEDING THE CLAIM. THE ACADEMY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

13. Governing Law
These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-laws principles. (Governing law and venue to be confirmed by counsel before this draft is finalized.)
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms, together with any order or checkout confirmation, make up the entire agreement between you and the Academy regarding the Services.
